Article 1 - Definitions
In these terms, the following definitions apply:
- HubTwo: HubTwo V.o.f., established in Mierlo, KvK 97025070
- Client: the party that enters into an agreement with HubTwo
- Assignment: the agreed services, including software development, consultancy and related activities
Article 2 - Applicability
These terms and conditions apply to all quotes, agreements and deliveries by HubTwo. Deviations are only valid if agreed in writing.
Article 3 - Quotes and agreements
Quotes from HubTwo are valid for 30 days unless stated otherwise. An agreement is concluded after written confirmation by HubTwo or after commencement of the work.
Article 4 - Execution of the assignment
HubTwo carries out the assignment to the best of its knowledge and ability. HubTwo has a best-efforts obligation, not a results obligation, unless expressly agreed otherwise.
The client provides all information required by HubTwo in a timely manner. Delays due to missing information may lead to adjustments in planning and/or costs.
Article 5 - Rates and payment
Rates are exclusive of VAT unless stated otherwise. Invoices must be paid within 14 days of the invoice date. In the event of late payment, HubTwo is entitled to suspend the work.
Article 6 - Intellectual property
Upon full payment, HubTwo transfers the ownership rights of the software developed specifically for the client. Reusable components, frameworks and tooling remain the property of HubTwo and are licensed.
Article 7 - Confidentiality
Both parties treat confidential information as such. HubTwo does not share the client's business information with third parties without explicit consent.
Article 8 - Liability
HubTwo's liability is limited to the amount invoiced in the context of the relevant assignment, with a maximum of the amount paid out by the liability insurance. HubTwo is not liable for indirect damage, consequential damage or loss of profit.
Article 9 - Force majeure
In the event of force majeure, HubTwo is not obliged to fulfil its obligations. The parties will then consult on an appropriate solution.
Article 10 - Applicable law
Dutch law applies to all agreements with HubTwo. Disputes are submitted to the competent court in the district of Oost-Brabant.
